3.1 www.telasys.net is a site operated by Telasys Ltd (“Telasys”). Telasys is a other telecoms activities and reseller organisation trading under the name “Telasys”. Telasys’s principal place of business is located at Regus House, Malthouse Avenue, Cardiff, CF23 8RU. The organisation’s VAT Registration Number is GB262333033.

5. CHANGES TO THE TELASYS WEBSITE

5.1 Telasys may update the Telasys Website from time to time, and may change the content at any time. However, please note that any of the content on the Telasys Website may be out of date at any given time, and we are under no obligation to update it.

5.2 Telasys do not guarantee that the Telasys Website, or any content on it, will be free from errors or omissions. 

6. ACCESSING THE TELASYS WEBSITE

6.1 The Telasys Website is made available free of charge. 

6.2 Telasys do not guarantee that the Telasys Website, or any content on it, will always be available or be uninterrupted. Access to the Telasys Website is permitted on a temporary basis. Telasys may suspend, withdraw, discontinue or change all or any part of the Telasys Website without notice. Telasys will not be liable to you if for any reason the Telasys Website is unavailable at any time or for any period. 

6.3 You are responsible for making all arrangements necessary for you to have access to the Telasys Website. 

6.4 You are also responsible for ensuring that all persons who access the Telasys Website through your internet connection are aware of these terms of use and other applicable terms and conditions, and that they comply with them.

7.1 In line with UK Government guidelines, the Telasys Website has been developed to comply with Level AA of the Web Content Accessibility Guidelines 2.0. 

8. YOUR ACCOUNT AND PASSWORD

8.1 If you choose to register you will be provided with a password as part of our security procedures, you must treat the password as confidential. You must not disclose it to any third party. 

8.2 Telasys have the right to disable any user password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these terms of use.

9. INTELLECTUAL PROPERTY RIGHTS

9.1 Telasys are the owner or the licensee of all intellectual property rights in the Telasys Website, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved. 

9.2 You may print off one copy, and may download extracts, of any page(s) from the Telasys Website for your personal use and you may draw the attention of others within your organisation to content posted on the Telasys Website. 

9.3 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text. 

9.4 Our status (and that of any identified contributors) as the authors of content on the Telasys Website must always be acknowledged. 

9.5 You must not use any part of the content on the Telasys Website for commercial purposes without obtaining a licence to do so from us or our licensors.

11.3 Telasys will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with: 

(a) use of, or inability to use, the Telasys Website; 
(b) use of or reliance on any content displayed on the Telasys Website; 
(c) loss of profits, sales, business, or revenue; 
(d) business interruption; 
(e) loss of anticipated savings; 
(f) loss of business opportunity, goodwill or reputation; or

11.5 Telasys assume no responsibility for the content of websites linked on the Telasys Website. Such links should not be interpreted as endorsement by us of those linked websites. Telasys will not be liable for any loss or damage that may arise from your use of them. 

11.6 Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any goods by us to you, which will be set out in our Terms and Conditions of Sale

12. UPLOADING CONTENT TO THE TELASYS WEBSITE

12.1 Whenever you make use of a feature that allows you to upload content to the Telasys Website, or to make contact with other users of the Telasys Website, you must comply with the content standards. 

12.2 You warrant that any such contribution does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty.

12.3 Any content you upload to the Telasys Website will be considered non-confidential and non-proprietary, and we have the right to use, copy, distribute and disclose to third parties any such content for any purpose. 

12.4 Telasys also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Telasys Website constitutes a violation of their intellectual property rights, or of their right to privacy. 

12.5 Telasys will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of the Telasys Website. 

12.6 Telasys have the right to remove any posting you make on the Telasys Website if, in our opinion, your post does not comply with the our content standards. 

12.7 The views expressed by other users on the Telasys Website do not represent our views or values. 

13. VIRUSES

13.1 Telasys do not guarantee that the Telasys Website will be secure or free from bugs or viruses. 

13.2 You are responsible for configuring your information technology, computer programs and platform in order to access the Telasys Website. You should use your own virus protection software. 

13.3 You must not misuse the telasys Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Telasys Website, the server on which the Telasys Website is stored or any server, computer or database connected to the Telasys Website. You must not attack the Telasys Website via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. Telasys will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Telasys Website will cease immediately. 

14. LINKING TO THE TELASYS WEBSITE

14.1 You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. 

14.2 You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. 

14.3 You must not establish a link to the Telasys Website in any website that is not owned by you. 

14.4 The Telasys Website must not be framed on any other site, nor may you create a link to any part of the Telasys Website other than the home page. 

14.5 Telasys reserve the right to withdraw linking permission without notice.

16. APPLICABLE LAW

16.1 If you are a business, these terms of use, its subject matter and its formation (and any non-contractual disputes or claims) are governed by English law. Telasys both agree to the exclusive jurisdiction of the courts of England and Wales. 

17. TRADE MARKS

 “Telasys” is a registered trade mark of Telasys Ltd. All third party trade marks are acknowledged and used under licence. 

18. FRAMEWORKS

On behalf of myself & the organisation for which I represent, I acknowledge that suppliers’ pricing, offering and other information under any framework agreement is considered to be commercially sensitive and could well prejudice the commercial interests of the suppliers involved if the information were to be made publicly available.

I therefore hereby agree on behalf of the said organisation that we will keep strictly confidential the pricing information supplied to us and will not disclose the same or any part thereof to any other person, organisation or company and shall not make any use of such information or any part thereof for any purposes other than for accessing the framework.

I further agree that access to all such information will be restricted only to those persons reasonably required to know it and that, in any event, our employees, agents, consultants and sub-contractors (if any) are bound to us to hold such information in confidence and to use such information only for the purposes of accessing the framework.
